Tendering Text: Development of a contractual framework for energy performance contracting ESCO business model

The objective of this assignment is to provide technical expertise needed to develop draft standardized contracts between ESCO service provider and end-user, which is consistent with international standards and arbitration processes that can be customized to ensure effective and conflict free service is provided by the ESCO to end-users.

The contractor will develop detailed contracts following the guaranteed saving model and will also draft simplified contracts for the shared saving model as well as the outsourced energy management model. The primary difference between these business models is related to which actor (the ESCO or the end user) assumes financial risk (briefly explained in Annex III). The contract has to take into consideration  dispute resolution mechanism and remedies, which should be taken into account during in the settlement of any case. Also, the contract should take into consideration termination and exit clauses. In addition, contracts between end-user and finance institution in guaranteed saving model and contract between ESCO and finance institution in shared saving models will be developed.
