Description
The International Fund for Agricultural Development (IFAD), a specialized agency of the United Nations based in Rome, Italy, hereby solicits proposals for the Provision of Provision of Legal Services for Africa Rural Climate Adaptation Finance Mechanism (ARCAFIM) - East Africa. IFAD’s Private Sector, Advisory and Implementation Unit (“PAI”) is in charge of designing, day to day management and supervision over IFAD’s non-sovereign operations (“NSO”) in accordance with Framework for IFAD non-Sovereign Private Sector Operations and Establishment of a Private Sector Trust Fund: (https://webapps.ifad.org/members/eb/129/docs/EB-2020-129-R-11-Rev-1.pdf). The Office of the General Counsel (“LEG”) provides legal support to PAI at each stage of the NSO operations. Following preliminary assessment IFAD has decided to enter into structured non-sovereign financing transaction (the “Transaction”), which will consist of: (1) a loan facility and (2) a technical assistance grant. A number of international financiers will extend funding to IFAD so that IFAD could finance the Transaction, i.e. provide loan facility and technical assistance grant to Equity Bank (Kenya) Limited (the “Borrower”), a commercial bank established in the Republic of Kenya. IFAD seeks to retain the services of a law firm to act as its legal counsel (the “Legal Counsel”) and provide legal services described in Section 8 below in connection with the Transaction.
